The three most popular forms of corporate structure in Norway are as follows:

  • private limited company (AS)

  • public limited company (ASA)

  • branch office of a foreign company

Corporate legal structure

Aksjeloven -AS

The most popular business form, generally  registered by small and medium businesses, is the private limited liability company (Aksjeloven)

The incorporation of an A.S requires a minimum share capital of  NOK 30,000 (approximately  EUR 4,000), fully paid up

 

Board members condition:

  • At least one shareholder; board of directors required

  • 50% of board members must be resident in Norway or in a EU/EEA country

Allmennaksjeselskap – A.S.A

A Norwegian joint stock company is designated for larger businesses, and the required capital, divided into shares, cannot be less than NOK 1,000,000 ( EUR 125,000).

 

​Board members condition:

  • At least one shareholder; board of directors required

  • 50% of board members must be resident in Norway or in a EU/EEA country

  • Board members must apply for Norwegian D Number

Norwegian Branch of a Foreign Company (NUF)

In some cases it makes sense to set up a foreign branche (NUF) rather than a private limited company (AS) in Norway.

You do not need registered address in Norway. This will save you the cost for an office address in Norway.  The fee for registration in the business registrar is lower than the registration fee for the AS.

 

An additional advantage is that there is no share capital requirement.

How to register company in Norway as a foreigner?

 A foreigner can open and own a business in Norway. The most common company type for a foreigner is a private limited company, in Norwegian: AS. However, establishing a company in Norway as a foreigner takes more administrative work than it does for a Norwegian resident or citizen. 

Procedure to register company in Norway

Determine legal structure

For foreign entrepreneurs, the AS is the most common legal entity. Besides the type of legal entity, you should also consider which structure is most suited for your company. If you will set up an AS limited company, it is usually more beneficial to set up a so-called holding structure.

Bank application

Choosing local bank in Norway and preparing legal documents for AML and KYC procedure. The documentation has to be provided to complete the due diligence process.  If the financial institution can not do satisfactory due diligence on the company they can not open a bank account.

Select a trade name

When you are about to register, we suggest you follow this sequence:

  1. Register the domain name

  2. Register the enterprise name

  3. Register any trademark

Obtaining D-number

The identification number for foreign citizens is called a D-number. The D-number applications are sent together with the application for the organization number to the Business Registry. All of the individuals that are going to have any official roles in the company (director, board member, powers of procurement etc.), need to be registered D-number
